History:  INCORPORATED in Delaware Dec. 16, 2002, as Spongetech Sub, Inc.; and on that date merged Spongetech International Ltd., a New York corporation, and also merged Spongetech Delivery Systems, Inc., the company's parent. The company then adopted the name Spongetech Delivery Systems, Inc. Spongetech International Ltd. was incorporated in New York June 18, 1999, as Romantic Scents, Inc.; name changed to RSI Enterprises, Inc. June 18, 2001, and to Spongetech International Ltd. Oct. 3, 2002. On July 15, 2002, Spongetech International Ltd. (then known as RSI Enterprises, Inc.) was acquired by Nexgen Acquisitions VIII, Inc., a Delaware corporation. Nexgen subsequently changed its name to Spongetech Delivery Systems, Inc.
