* On March 5, 2008, Capital City Energy Group, Inc. (fka The Baby Dot Company) (the Company) entered into an Agreement and Plan of Merger (the Merger Agreement) with Capital City Petroleum, Inc., a privately held Delaware corporation (Capital City Petroleum), and BabyDot Acquisition Corp. (Acquisition Sub), a newly formed wholly-owned Delaware subsidiary. In connection with the closing of this merger transaction, on March 5, 2008, Acquisition Sub merged with and into Capital City Petroleum (the Merger) with the filing of a certificate of merger with the Delaware Secretary of State. As such, Capital City Petroleum became a wholly owned subsidiary of the Company. Each share of Capital City Petroleum common stock issued and outstanding immediately prior to the closing of the Merger was converted into the right to receive ten (10) shares of our common stock, par value $0.001 per share. As a result, the shareholders of common stock of Capital City Petroleum received 20,750,740 newly issued shares of Common Stock. The Merger is being accounted for as a reverse merger, as the stockholders of Capital City Petroleum own a majority of the outstanding shares of our capital stock immediately following the Merger and now control our Board of Directors. Capital City Petroleum is deemed to be the accounting acquirer in the reverse merger.
