HISTORICAL BUSINESS INFORMATION: The Company was incorporated in Florida in 1993 as Cayman Purchasing & Supply, Inc. The Company was inactive until it redirected its business efforts in 1997 following a change of management.
October 1997, Cayman Purchasing & Supply, Inc. changed its name to Patagonia Gold Corporation.
December 2002, Patagonia Gold Corp. changed its name to Patagonia Gold (BVI) Ltd and its ticker symbol to PGBVF. In addition, Patagonia Gold (BVI) Ltd acquired Soil Biogenics Ltd., a Bermuda corporation, for 17,000,000 shares of restricted common stock. As a result, Soil Biogenics became a wholly owned subsidiary of Patagonia Gold (BVI) Ltd.
On March 3, 2003, Patagonia Gold Limited announced that it had changed its name and trading symbol. The Company's old trading symbol was "PGBVF". The Company's new name is Soil Biogenics Limited and the new trading symbol is "SOBGF". The Company's shares are traded on the OTC Bulletin Board. The name and symbol changes are effective March 3, 2003.
In December 2003, the Company incorporated a wholly owned Spanish subsidiary, Soil Biogenics S.L., to produce and market its bio-organic fertilizer. The company will be based in Madrid, Spain.
