Each One Hundred Sixty Nine Thousand (169,000) shares of common stock of DITA, Inc. (Dita), par value $0.01 per share (Dita Common Stock), issued and outstanding immediately prior to the effective time of the merger (other than dissenting shares), shall be converted into the right to receive One (1) validly issued, fully paid and non-assessable share of Surviving Corporation (DITA, Inc) Common Stock. In lieu of fractional shares of Surviving Corporation Common Stock: (i) if a Dita stockholder holds greater than One Hundred Sixty Nine Thousand (169,000) shares of Dita Common Stock, then the number of shares of Surviving Corporation Common Stock issued to such stockholder shall be rounded down to the nearest whole number of shares; and (ii) if a Dita stockholder holds less than One Hundred Sixty Nine Thousand (169,000) shares of Dita Common Stock, then each share of Dita Common Stock will be cancelled and converted automatically into the right to receive an amount of cash equal to $0.833 per share (the ?Per Share Cash Consideration) ** |
